Acceptance of Terms

Thank you for using VegeVege. These Terms of Service (the "Terms") are intended to make you aware of your legal rights and responsibilities with respect to your access to and use of the VegeVege website at www.en.vege-vege.net and any related mobile including but not limited to delivery of information via the website whether existing now or in the future that link to the Terms (collectively, the "Services").
Please read these Terms carefully. By accessing or using the VegeVege Platform, you are agreeing to these Terms and concluding a legally binding contract with VegeVege. You are in compliance with all laws and regulations in Japan when you access and use the Services. You agree to use the Services only in compliance with these Terms and applicable law, and in a manner that does not violate our legal rights or those of any third party(ies).

You represent that you have read, understood and agreed to our Privacy Policy. Please note that we may disclose information about you to third parties or government authorities if we believe that such a disclosure is reasonably necessary to:

VegeVege may vary or amend or change or update these Terms, from time to time entirely at its own discretion. You shall be responsible for checking these Terms from time to time and ensure continued compliance with these Terms. Your use of VegeVege Platform after any such amendment or change in the Terms shall be deemed as your express acceptance to such amended/changed terms and you also agree to be bound by such changed/amended Terms.

VegeVege disclaims any liability for any information that may have become outdated since the last time the particular piece of information was updated. VegeVege does not guarantee the quality of the Goods, the prices listed in menus or the availability of all menu items at any Restaurant/Merchant. Any certification, licenses or permits ("Certification") or information in regard to such Certification that may be displayed on the Restaurant's listing page or Nutrition Products’ listing on the VegeVege Platform is for informational purposes only. Such Certification is displayed by VegeVege on an 'as available' basis that is provided to VegeVege by the Restaurant partner(s)/Merchant(s). VegeVege does not make any warranties about the validity, authenticity, reliability and accuracy of such Certification or any information displayed in this regard. Any reliance by a Customer upon the Certification or information thereto shall be strictly at such Customer's own risk and VegeVege in no manner shall assume any liability whatsoever for any losses or damages in connection with the use of this information or for any inaccuracy, invalidity or discrepancy in the Certification or non-compliance of any applicable local laws or regulations by the Restaurant partner/Merchant.

Content and Proprietary Rights

We are the sole and exclusive copyright owners of the Services and our Content. The contents of the Services are owned by or licensed to VegeVege or its affiliates. In the case of User Materials (as defined in the "User Materials" section below) the contents are licensed to VegeVege by the user. You may not reproduce, distribute, republish, upload, transmit, display, prepare derivative works of, publicly perform, sell, transfer, assign, license or use for commercial purposes any copyrighted material on the Services without the prior written consent of VegeVege, except as provided below. All rights not expressly granted in these Terms of Use are reserved to VegeVege. You will not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Services.

take any action that imposes or may impose, in VegeVege's sole discretion, an unreasonable or disproportionately large load on our infrastructure or server, including but not limited throttle violations
interferes or attempts to interfere with the proper working of the Services or any activities conducted on the Services bypasses any measures we may use to prevent or restrict access to the Services

International Users

VegeVege is controlled and operated within Japan. VegeVege makes no representation that content, materials or products available on or through VegeVege-japan.com are appropriate or available for use outside of Japan. If you are accessing VegeVege-japan.com from a location outside Japan, then you are responsible for compliance with applicable laws, including local laws regarding online conduct and content, and japanese export laws and regulations

Links and Search Results

The Services may automatically produce search results that reference or link to third-party sites throughout the World Wide Web. VegeVege has no control over these sites or the content within them. VegeVege cannot guarantee, represent, or warrant that the content contained in these sites is accurate, legal, and/or inoffensive. VegeVege does not endorse the content of any third-party site, nor do we warrant that it will not contain viruses or otherwise impact your computer. By using the Services to search for or link to another site, you agree and understand that you may not make any claim against VegeVege for any damages or losses, whatsoever, resulting from your use of the Services to obtain search results or to link to another site. Limitation of Liability

You agree that in no event shall VegeVege be liable under contract, tort or strict liability, negligence or any other legal theory

with respect to the Services, the services available on the Services or any content available on the Services for any lost profits or special, indirect, incidental, punitive or consequential damages of any kind whatsoever
for interruption of use or loss or corruption of data
for any direct damages in excess of (in the aggregate) $100. If your state does not allow for the limitation or exclusion of incidental or consequential damages, the above provision may not apply to you

That your use of the services shall be at your sole risk. Advertising

Some of the Services are supported by advertising revenue and may display advertisements and promotions. These advertisements may be targeted to the content of information stored on the Services, queries made through the Services or other information. The manner, mode and extent of advertising by VegeVege on the Services are subject to change without specific notice to you. In consideration for VegeVege granting you access to and use of the Services, you agree that VegeVege may place such advertising on the Services. Part of the site may contain advertising information or promotional material or other material submitted to VegeVege by third parties or Customers. Responsibility for ensuring that material submitted for inclusion on the VegeVege Platform complies with applicable international and national law is exclusively on the party providing the information/material. Your correspondence or business dealings with, or participation in promotions of, advertisers other than VegeVege found on or through the VegeVege Platform and any other terms, conditions, warranties or representations associated with such dealings, shall be solely between you and such advertiser. VegeVege will not be responsible or liable for any error or omission, inaccuracy in advertising material or any loss or damage of any sort incurred as a result of any such dealings or as a result of the presence of such other advertiser(s) on the VegeVege Platform.

Jurisdiction

You expressly agree that exclusive jurisdiction for any dispute with VegeVege or in any way relating to your use of the Services, resides in the Courts of the State of California, and you further agree and expressly consent to the exercise of personal jurisdiction in the Courts of the State of California in connection with any dispute including any claim involving VegeVege directors, Ambassadors, contributors, and content providers. These Terms and Conditions are governed by the laws of the State of California, without respect to its conflicts of law principles. If any provisions of these Terms and Conditions is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms and Conditions, which shall remain in full force and effect. No waiver of any of these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or any other term or condition.

Entire Agreement

These Terms of Use and the Privacy Policy constitute the entire and exclusive understanding and agreement between VegeVege and you regarding the Services. These Terms of Use supersede and replace any and all prior oral or written understandings or agreements between VegeVege and you regarding the Services. The failure of VegeVege to enforce any right or provision of these Terms of Use will not constitute a waiver of future enforcement of any right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of VegeVege. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise. If for any reason a court of competent jurisdiction finds any provision of these Terms invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect.
